Introduction
This agreement governs your participation in the Chnlove Affiliate Program. The Chnlove Affiliate Program (the "Affiliate Program") is operated by Chnlove.com. The term "Affiliate" shall hereafter refer to any individual, company or collective who participates in our Affiliate Program.
Becoming an affiliate
To become an affiliate of Chnlove.com, the prospective affiliate will submit an online application form to Chnlove.com, or register as an Affiliateshop member first then apply for the Chnlove affiliate. Chnlove.com will then evaluate the application and, at its sole discretion, either accept or reject it. Potential reasons for rejection include (but are not limited to) an affiliate site's being unsuitable on the grounds of publishing sexually explicit material, containing racist or sexist content or promoting illegal practices.
Terms of Agreement
This Agreement will commence on the day you become an Affiliate and will continue until terminated by the Affiliate or Chnlove.com.
Modifications of Terms
We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a notice of changes or a new agreement on our site. If you consider any modifications unacceptable, your only recourse is to terminate the Agreement. Your continued participation in the program following our posting of a notice of changes or new agreement on our site will constitute binding acceptance of these changes.
Use of Chnlove.com's Banners, Links and Promotional Materials
Chnlove.com provides a variety of banners and text links that the Affiliate is invited to place on their site by means of copying the code provided. The right of copying the banners and text links is non-transferable. Once this code is placed onto the Affiliate site, banners or text links to Chnlove.com will be created. The Affiliate must not alter the design of these banners or text links in any way.
Termination of this Agreement
In the event of termination of this agreement, the Affiliate will immediately cease and desist from any activity allowed by these Terms and Conditions, including the cessation of the use of banners, links or promotional materials provided by Chnlove.com and the removal of these from the Affiliate's web site.
Calculation of Commissions
By First Orders - Your commission rate depends on the number of first orders your clients make and the total amount of each order in a calendar month:
- If the total amount of the first order placed is less than US$50, the commission is 15% of that order
- If the total amount of the first order placed is US$50 or more, the commission is 35% of that order
By Valid Members - Your commission depends solely on the number of valid members you acquire, i.e. 1st-59th member -> US$3.00 per member, 60th-149th member -> US$4.00 per member, 150th member and above -> $5.00 per member. E.g. if you acquire 155 valid members, your commission will be calculated as follows: (59 x 3.00) + (90 x 4.00) + (6 x 5.00). Once you have acquired your 150th member, from then you will receive $5 commission per member perpetually.
Both programs will run simultaneously, and whichever one brings you more commission will dominate.
For example: According to the "By Valid Members" option, you receive a commission of US$100, but according to the "By First Orders" option, you receive a commission of US$200. By default, you will be paid according to the option which brings you the most commission i.e. US$200.
Payment of Commissions
If you signed up to be a Chnlove Affiliate via Affiliateshop, the payment of commissions will be realized via Affiliateshop's system. If you signed up directly via Chnlove, the payment will be realized by Chnlove via PayPal, Money Order, Bank Wire etc.
With regards to the "By Valid Member" option, the commission you receive for the month is calculated after the last day of the month and before the 5th of the next month.
However, regarding the "By First Orders" option, commissions are issued 45 days after a purchase is made by your client. However, you will be paid commissions on, more or less, a monthly basis on or before the 20th of every month.
If your monthly reported commission is less than US$50, you will not be paid until your balance of payments reaches at least US$50 or until this Agreement is canceled.
We will not pay any affiliates who have chargebacks or creditbacks of 5% or more. Creditback is defined as credit received after customers cancel their memberships. Chargeback is defined as a refund of payment for customers after their credit cards have been processed.
The Valid Member
This only applies to the "By Valid Members" option. Chnlove only pays the Affiliate commission if, and only if, the referral has registered as a valid member. To be a valid member, the referral must satisfy the following conditions:
a) be male, AND
b) be 25 years of age or above, AND
c) have created a complete profile on Chnlove.com and verified his e-mail, AND
d) be a resident of and have registered via an IP address from one of the following countries: United States, Netherlands, Austria, Australia, Belgium, Canada, Switzerland, Germany, Denmark, Spain, Finland, France, United Kingdom, Ireland, Iceland, Italy, Netherlands, Norway, New Zealand.
Spam Policy
Any affiliate found cheating or spamming through email or newsgroups will be banned from the program immediately and their payments will be seized.
Fraud Policy
As an affiliate, you will not be entitled to a commission from us for any referral that we determine or reasonably suspect is the result of fraudulent activity. We have the right, in its sole and exclusive discretion, at any time, to expand or modify what constitutes possible fraudulent activity.
Disclaimer
The Affiliate Program, including all services supplied in the Affiliate Program, is provided "as is" with no warranties whatsoever. Chnlove.com disclaims warranties for the security, reliability and performance of the Affiliate Program, including the service provided in connection with it. In addition, Chnlove.com makes no representation that the operation of its site will be uninterrupted or error-free, and Chnlove.com will not be liable for the consequences of any interruptions or errors.
Resolution of Disputes
You agree that any action at law or in equity arising out of or related to the Agreement shall be filed only in the Courts of the Hong Kong Special Administrative Region of the People's Republic of China, and that you hereby consent and submit to the exclusive jurisdiction and venue of such courts. No action arising under or related to the Agreement may be brought by either party more than one year after the cause of action has occurred.
